Software Licence.

CODED. Core and every system built on it are ANEESD's proprietary software, licensed to client companies by subscription or by a company licence bought outright.

1The CODED. Platform

Every system CODED. delivers is built on CODED. Core: our proprietary platform core, with its data model, services and modules, and the CODED. Framework of components and tools we build with. Together, they're the CODED. Platform.

A client's system is the CODED. Platform configured and extended for that client: its modules, interfaces, integrations, automations and settings.

2Definitions

Client
The company named in an agreement with us for a licence.
System
The software we provide to the Client: the CODED. Platform, configured and extended for the Client.
Client Data
The data the Client and its users put into, or create in, the System, such as customer, order and financial records.
Authorised Users
The Client's employees and contractors whom the Client allows to use the System.
Subscription Licence
The right to use the System for as long as a subscription is active.
Company Licence
A permanent right for the Client company to use the System, bought outright, including a copy of its source code.

3Ownership

ANEESD owns the CODED. Platform, every System built on it, and all related software, source code, designs, documentation and know-how, including improvements, modules and work created for a Client, unless your agreement expressly transfers a specific item to you in writing. We license our software; we don't sell or transfer ownership of it.

The Client owns its Client Data, its brand and the content it supplies. We use Client Data only to provide our services, as our Data Processing Terms set out.

4Subscription Licence

A Subscription Licence gives the Client a non-exclusive, non-transferable right for its Authorised Users to use the System in the Client's own business, for as long as the subscription is active and paid.

  • Hosting, maintenance, updates and support are included, as described in Service and Support
  • Access to the System continues only while the subscription is active
  • Source code isn't provided

5Company Licence

A Company Licence gives the Client company a permanent, non-exclusive, non-transferable right to use the System in its own business, and includes a copy of the System's source code as it stands when the licence is granted.

  • The Client may modify its copy for its own internal use
  • The licence is for the named Client company only. It may not be sold, sublicensed, transferred or shared with another business, including another company in the same group, without our written consent
  • The source code may be given to contractors only to work on the Client's System, under confidentiality terms at least as protective as these
  • ANEESD keeps ownership of the source code and all intellectual property in it
  • Hosting, maintenance and support continue through a Maintenance and Support Plan

Work by others. We aren't responsible or liable for any change made to a System's source code, configuration or infrastructure by anyone other than ANEESD, or for its consequences. Support for parts of a System changed by others may be declined or charged separately.

6What isn't permitted

Under either licence, the Client may not:

  • Copy, distribute, publish, rent, lease or resell the System or any part of the CODED. Platform
  • Use the System, its source code or its design to build, or help anyone build, a competing product
  • Reverse engineer or decompile the System, except as far as the law expressly allows
  • Remove or obscure any ownership, copyright or licence notice
  • Give access to anyone who isn't an Authorised User
  • Use the System against our Acceptable Use Policy

7Fees

Fees, billing periods and payment terms are set out in your agreement. Subscription fees are paid in advance for each billing period. If an invoice is still unpaid after a written reminder, we may suspend access until it's settled.

8Cancelling, and the end of a subscription

  • Subscriptions and Maintenance and Support Plans continue until cancelled
  • Cancelling takes three months' written notice, sent to info@coded.co.za or through your support channel
  • When a subscription ends, access to the System ends
  • For 30 days after it ends, the Client can export its Client Data, or ask us to provide it in a standard format
  • After those 30 days, Client Data is deleted from the System, unless the law requires us to keep it

9Our commitments

We build and maintain every System with skill and care, to the specification in your agreement. If something we built doesn't work as it should, we fix it as part of an active subscription or Maintenance and Support Plan.

We don't give warranties for third-party services a System connects to, for changes made by others, or for results that depend on how a System is used.

10Limits of liability

As far as the law allows, neither party is liable for indirect or consequential loss, including lost profit or revenue. Our total liability under an agreement in any 12 month period is limited to the fees paid to us under that agreement in those 12 months. Nothing here limits any liability that can't lawfully be limited.

11Confidentiality

Each party keeps the other's confidential information confidential, including a System's source code, designs and documentation, and uses it only for the purposes of the agreement. This continues after the agreement ends.

12Law

This licence is governed by the laws of the Republic of South Africa.
